When must the AGM notice go out?

Choose the meeting and its date, and see the last day to give notice, when proxies close and when the annual general meeting is due. The days are counted as section 4 of the Interpretation Act counts them, with its proviso for a meeting on a Sunday or public holiday.

Days are counted as the Interpretation Act reckons them: the day the notice is given is excluded and the day of the meeting is included. When the meeting falls on a Sunday or public holiday, the Act's proviso leaves that day out, with any Sunday or public holiday just before it, so the notice goes out earlier. Business days skip weekends and public holidays. General information, not legal advice.

What the law says

The notice periods, rule by rule

A general meeting of a sectional title scheme runs to periods the Act and the prescribed management rules set. A scheme's own rules may change some of them.

General information, not legal advice.

PMR 15(1)

14 days for a general meeting

Members must be given at least 14 days' written notice of a general meeting, whether an annual or a special general meeting.

STSMA s6(2)

30 days for a special or unanimous resolution

When a special or unanimous resolution is on the agenda, the notice must be at least 30 days, unless the scheme's rules provide for shorter notice.

PMR 15(7)(a)

7 days when it is urgent

The trustees may call a general meeting on 7 days' notice when they resolve that urgency requires it and record why, but not a meeting under rule 29(2) or (4). Whether urgency shortens the 30 days of a special or unanimous resolution is for the scheme's attorney to say, so the calculator, like Estate Manager, keeps the 30 days.

PMR 15(7)(b), 15(2) and 15(9)

Shorter notice by agreement or waiver

A general meeting may be called on less than 14 days' notice if everyone entitled to attend agrees in writing. A person entitled to notice may waive it by written notice to the body corporate, and joint owners must all waive it. Voting may go ahead without proper notice if everyone entitled to notice waives it in writing.

PMR 20(5)

Proxies 48 hours before

A proxy appointment must reach the body corporate 48 hours before the meeting, or be handed to the chairperson before or at the start of the meeting.

PMR 17(1)

The AGM within four months

The annual general meeting must be held within four months after the end of each financial year.

How the days are counted

Counting the days, the way the law does

Most disputes about notice come down to how the days were counted. The calculator counts them the same way Estate Manager does when it checks a notice before it is sent.

  1. 01

Leave out the day of the notice

The day the notice is given does not count towards the period.

    Interpretation Act s4
  2. 02

Count the day of the meeting

The day of the meeting is the last day of the period, and it counts, unless it falls on a Sunday or public holiday. Section 4 then leaves it out, with any Sunday or public holiday just before it, so the notice goes out earlier. The calculator and Estate Manager both apply this, and give the date on the strictest reading too.

  3. 03

    Skip weekends for business days

Where a period is in business days, as for a homeowners' association that is a non-profit company, Saturdays, Sundays and public holidays are left out.

    Companies Act s5(3)
  4. 04

    Check before you send

Estate Manager counts the period for the meeting you have set up and tells you before the notice goes out whether it is long enough.

Questions

Questions about AGM notice

Anything else: ask us when you book a demo, or write to info@nanotech-computers.com.

How much notice does a body corporate AGM need?
At least 14 days' written notice under prescribed management rule 15(1), or at least 30 days when a special or unanimous resolution is on the agenda under section 6(2) of the Act, unless the scheme's rules provide otherwise.
Does a special general meeting need the same notice?
Yes. The 14 days of rule 15(1) apply to every general meeting, and the 30 days of section 6(2) apply whenever a special or unanimous resolution is on the agenda, at an AGM or a special general meeting.
Can a meeting be called on shorter notice?
The trustees may call a general meeting on 7 days' notice when they resolve that it is urgent and record why, except a meeting under rule 29(2) or (4) (rule 15(7)(a)). A general meeting may be called on less than 14 days' notice if everyone entitled to attend agrees in writing: the members, the registered bondholders, the holders of future development rights and the managing agent (rule 15(7)(b)).
When do proxies close?
A proxy appointment must reach the body corporate 48 hours before the meeting, or be handed to the chairperson before or at the start of the meeting (rule 20(5)).
When must the AGM be held?
Within four months after the end of the scheme's financial year (rule 17(1)). Enter the end of the financial year in the calculator to see the date.
Does this work for a homeowners' association?
For a homeowners' association that is a non-profit company, the calculator uses 15 business days for a members' meeting (Companies Act s62(1)(a)). Its memorandum of incorporation may set other periods, and then those apply.

Let Estate Manager count the days for you

It checks the notice period of every meeting before the notice goes out, and keeps the record of when and to whom it was sent.
