What the law says
The quorum, rule by rule
Prescribed management rule 19 sets the quorum of a general meeting, the annual general meeting and every special general meeting alike. A scheme's own rules may set another.
General information, not legal advice.
No business without a quorum
No business may be transacted at a general meeting unless a quorum is present or represented.
One third of the votes in value
In most schemes, members entitled to vote who hold one third of the total votes of the members, in value, make a quorum.
Two thirds in the smallest schemes
In a scheme with fewer than four primary sections, or a body corporate with fewer than four members, the quorum is two thirds of the votes in value.
Two persons, and never the developer's votes
At least two persons must be present, unless every section is registered in one person's name. The value of the developer's votes is not taken into account in working out the quorum.
Sections the body corporate owns
Votes for sections registered in the body corporate's name are disregarded for the quorum, and the body corporate is not treated as a member.
Adjourned for a week
With no quorum 30 minutes after the time set, the meeting stands adjourned to the same day of the next week, at the same place and time. If there is still no quorum 30 minutes after that meeting is due to start, the members entitled to vote and present in person or by proxy are a quorum.
A worked example
One meeting, checked step by step
- 01
Add up the quotas present
A scheme has 24 primary sections and 22 members. Members whose participation quotas total 45.90 per cent are present in person, online or by proxy.
- 02
Compare them with one third
With 24 sections and 22 members it is not one of the smallest schemes, so it needs one third, 33.33 per cent. 45.90 per cent is enough.
PMR 19(2)(b) - 03
Count the persons present
Eleven people are in the room or online, more than the two the rule asks for.
- 04
Open the meeting
Both tests are met, so the business of the meeting may begin. Estate Manager keeps the same count live as owners check in.
